Terms of Service
1. Acceptance of Terms and Contractual Relationship
Welcome to Suishenhao. Suishenhao is provided by the operating entity disclosed on the website or checkout page (the “Operator,” “we,” or “us”). By creating an account, clicking to agree, binding a device or SIM card, purchasing a subscription, or using the Service, you acknowledge that you have read, understood, and agree to these Terms of Service, together with the Privacy Policy, the Acceptable Use Policy, the Device & SIM Authorization Agreement, the Communications Data Consent, the Subscription, Billing & Automatic Renewal Terms, the Cancellation & Refund Policy, and the Account & Data Deletion Policy referenced in these Terms.
If you do not agree to the documents above, please do not register, bind a device, purchase a subscription, or continue using the Service. If you use the Service on behalf of a company or other organization, you represent and warrant that you have the authority to accept these Terms on behalf of that organization.
2. Eligibility, Accounts, and Electronic Records
You must be at least 18 years old and have the legal capacity to enter into a binding contract. We do not provide account services to children under the age of 13; if we learn that a minor under the age of 18 has provided personal information without proper authorization, we will take reasonable steps to delete the relevant information.
You should provide true, accurate, and current registration information, and properly safeguard your password, email address, recovery methods, login sessions, gateway device, and other security credentials.
To the extent permitted by law, you agree to receive records and notices relating to your account, subscriptions, security, changes to these Terms, and the Service electronically, and you agree that your electronic clicks, checkboxes, confirmations, or other electronic actions may be used to evidence your consent. If the law requires paper records or separate consent, we will handle the matter in accordance with the law.
3. Nature and Scope of the Service
Suishenhao is a software and cloud-connectivity service. Users install the gateway application on Android devices that they own or are lawfully authorized to use, and use their own SIM cards. After the user provides affirmative authorization, the platform may transmit SMS messages, incoming-call events, device status, and remote commands affirmatively initiated by the user between the user’s gateway device and the user’s signed-in web or mobile client.
Suishenhao is not a mobile network operator, does not sell or lease telephone numbers or SIM cards, does not operate a public or shared SIM pool, and does not provide public verification-code receiving services, number leasing, bulk SMS, telecommunications resale, or verification-code brokering services for the purpose of third-party account verification.
4. Device, SIM, and Communications Authorization
You may only bind devices and SIM cards that you own or for which you have obtained sufficient authorization to use. You may not intercept, access, store, forward, or control any other person’s electronic communications without authorization, and you may not bypass device locks, third-party account controls, or other access restrictions.
You are responsible for keeping your SIM card active, bearing carrier charges, and ensuring that the device has the necessary power, network connectivity, and system permissions. If a device or SIM card is lost, sold, transferred, or otherwise ceases to be under your control, you should immediately unbind it and take the necessary account protection measures.
5. Prohibited Uses, Federal Communications Law, and Sanctions Compliance
You must comply with the Acceptable Use Policy and applicable U.S. federal law. It is strictly prohibited to use the Service for fraud, phishing, account takeover, covert surveillance, unauthorized access to communications, spam SMS, automated marketing SMS, buying or selling verification codes, card pooling, number leasing, money laundering, terrorist financing, human trafficking, child sexual abuse material (CSAM)-related activity, or other unlawful conduct.
You may not use the Service in a manner that violates the Electronic Communications Privacy Act (ECPA), the Stored Communications Act (SCA), the Computer Fraud and Abuse Act (CFAA), or the Telephone Consumer Protection Act (TCPA). Whether consent must be obtained from the recipient of an SMS message or call is the responsibility of the user carrying out the relevant communication.
The Service may not be used to circumvent U.S. economic sanctions, export controls, or other applicable trade restrictions. We may take screening, restriction, suspension, or termination measures to the extent reasonably necessary to comply with OFAC and other applicable U.S. sanctions or export-control requirements.
6. Communications Data and Privacy
To provide the features you expressly request, the platform may process SMS message content, verification codes, sender/recipient identifiers, timestamps, incoming-call events, device status, IP addresses, security logs, and remote commands affirmatively initiated by you. Before processing communications content, we will require your affirmative authorization and will act in accordance with the Communications Data Consent and the Privacy Policy.
We do not use SMS message content, verification codes, or call content for content-based advertising targeting, and we do not sell such communications content.
7. Subscriptions, Charges, and Automatic Renewal
Some features require a paid subscription. Before checkout, we will clearly display the service name, price, currency, billing period, the automatic-renewal nature, any trial or promotional terms (if any), and how to cancel.
For automatically renewing subscriptions sold over the internet, we will, consistent with the principles of the Restore Online Shoppers’ Confidence Act (ROSCA), obtain clear, informed consent before charging and provide a simple online method to stop future recurring charges. Detailed rules are set out in the Subscription, Billing & Automatic Renewal Terms.
Payments are usually processed directly by third-party payment processors. Unless the actual payment functionality requires otherwise, we do not store complete bank card numbers or bank card security codes.
8. Service Availability and Emergency Communications Disclaimer
The Service depends on the Android operating system, the user’s device, power, the internet, telecommunications carriers, SIM card status, the verification-code policies of third-party banks or websites, cloud infrastructure, and other systems outside the Operator’s control. We will take commercially reasonable measures to maintain the Service, but we do not guarantee that every SMS message, verification code, incoming-call event, or remote command will be delivered promptly, completely, or successfully.
Important: Suishenhao is not a 911 or other emergency communications service, nor is it a medical, personal-safety, life-support, or critical-infrastructure communications service. You must not use Suishenhao as your only means of communication in an emergency.
9. Software License and Intellectual Property
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use Suishenhao solely for that purpose. Except as expressly permitted by applicable law, you may not sell, rent, sublicense, maliciously reverse engineer, bypass security restrictions, attack the system, or use the platform to carry out automated abuse.
10. Suspension and Termination
You may stop using the Service, cancel your subscription, or request deletion of your account. We may restrict, suspend, or terminate the Service in cases of a material breach of these Terms, fraud or security risk, persistent payment failures, legal requirements, sanctions compliance, or where continuing to provide the Service would create a material risk.
Except in cases of urgent security incidents, where notice is prohibited by law, or where immediate protection of third parties is required, we will, to the extent reasonably practicable, inform you of the reason for a material restriction or termination and provide an appropriate channel to appeal.
11. Disclaimer of Warranties
To the maximum extent permitted by law, the Service is provided on an “as is” and “as available” basis. We make no warranties with respect to carriers, third-party verification-code systems, user devices, third-party applications, the internet, or other systems outside our control.
12. Limitation of Liability
To the maximum extent permitted by law, the Operator is not liable for indirect, incidental, special, punitive, or consequential damages, loss of profits, or loss of goodwill arising from missed SMS messages, verification codes, calls, device offline status, SIM suspension, third-party account restrictions, network outages, or changes to third-party policies.
Except for liability that the law does not permit to be limited, the Operator’s aggregate liability arising out of the Service is capped at the greater of the total amount of service fees you actually paid to the Operator in the 12 months preceding the event giving rise to the claim and US$100. This section does not attempt to disclaim liability for fraud, intentional misconduct, or liability that the law expressly does not permit to be limited.
13. Changes to These Terms and Notice
We may update these Terms due to changes in the product, security, law, or business. For changes that would materially and adversely affect prices, automatic renewal, liability, or user rights, we will, as a general rule, provide at least 30 days’ prior notice by email, in-app notification, or website notice; where the law requires us to obtain consent again, we will obtain the applicable consent before the change takes effect.
14. Dispute Resolution
These Terms and disputes relating to the Service are governed first by U.S. federal law; matters on which federal law is silent are governed by the state law that applies under applicable law and cannot be excluded by contract.
Before filing a formal claim, you and the Operator agree to first engage in good-faith informal negotiation for at least 30 days through written notice. This requirement does not limit either party’s right to seek emergency injunctive relief or to bring a small-claims action as permitted by law.
Except for matters that may be resolved in small-claims court under applicable law, if the parties cannot resolve a dispute informally, the dispute may, to the extent permitted by law, be resolved through individual arbitration conducted by AAA or another arbitration institution agreed to by the parties in writing, under the applicable consumer arbitration rules, pursuant to the Federal Arbitration Act. You may opt out of this arbitration agreement in writing within 30 days after first accepting these Terms, through the legal contact channel published by the Operator.
To the extent permitted by law, arbitration or litigation will be conducted only on an individual basis, and not as a class, consolidated, or representative action; if applicable law does not permit this waiver, the applicable law will control.
15. General Provisions
These Terms, together with the documents they reference, constitute the entire agreement between you and the Operator regarding the Service. If any provision is held invalid or unenforceable, the remaining provisions remain in effect. The Operator’s failure to enforce a right promptly does not constitute a waiver. You may not assign this agreement without the Operator’s written consent; the Operator may assign this agreement as permitted by law in connection with a merger, reorganization, or transfer of business.
For events beyond reasonable control, including natural disasters, large-scale network or telecommunications failures, war, government action, major cyberattacks, power outages, or failures of third-party infrastructure, we are not in breach of these Terms for resulting delays or interruptions, but we will take commercially reasonable measures to restore the Service.
